Conduit Terms of Service

hese Terms of Service (the “Terms”) govern your access to and use of the websites, pages, forms, content, and other online services that link to these Terms and are operated by Conduit Commerce, Inc. and its affiliates (“Conduit,” “we,” “us,” or “our”).
By accessing or using the Site, you agree to these Terms. If you are using the Site on behalf of a company or other entity, you represent and warrant that you have authority to bind that entity to these Terms, and “you” includes that entity.

1. Scope

These Terms apply to Conduit’s public-facing websites and related online services (collectively, the “Site”).
These Terms do not govern:

  • any paid products or services Conduit provides under a separate order form, statement of work, master services agreement, subscription agreement, or other written contract;

  • any product-specific terms, data processing addendum, or security addendum; or

  • third-party websites, software, services, or content.

If there is a conflict between these Terms and a separate written agreement between you and Conduit, the separate written agreement controls for the applicable products or services.

2. Eligibility

You may use the Site only if you are legally capable of entering into a binding contract and your use complies with applicable law. The Site is intended for business and professional audiences. The Site is not directed to children under 13, and we do not knowingly collect personal information directly from children under 13 through the Site.

3. Permitted Use

You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

  • use the Site in any way that violates applicable law, regulation, or third-party rights;

  • copy, reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, transmit, sell, or exploit Site content except as expressly permitted;

  • reverse engineer, decompile, disassemble, or attempt to derive source code from any portion of the Site, except to the extent prohibited by law;

  • interfere with or disrupt the integrity, performance, or security of the Site;

  • use any robot, scraper, crawler, spider, data mining tool, or similar automated means to access the Site for any purpose without our prior written consent;

  • bypass or attempt to bypass any security measures or access controls;

  • introduce malware, malicious code, or other harmful material;

  • impersonate any person or entity or misrepresent your affiliation; or

  • use the Site to benchmark, compete with, or build a competing product or service using non-public portions of the Site or materials obtained through restricted access.

4. Accounts and Communications

Some parts of the Site may allow you to submit forms, request demos, download materials, subscribe to updates, or otherwise communicate with us.
You agree that any information you provide is accurate, current, and complete. You are responsible for maintaining the confidentiality of any credentials associated with the Site and for all activities occurring under your account.
By submitting your contact information through the Site, you agree that Conduit may contact you regarding your request, our products and services, relevant company updates, events, and other business communications, subject to applicable law and your communication preferences.

5. Feedback

If you provide Conduit with ideas, suggestions, feedback, or recommendations regarding the Site or our products or services (“Feedback”), you grant Conduit a worldwide, perpetual, irrevocable, non-exclusive, transferable, sublicensable, royalty-free license to use, reproduce, modify, distribute, disclose, and otherwise exploit that Feedback for any lawful purpose, without compensation or attribution to you.

6. Intellectual Property

The Site, including its design, text, graphics, logos, icons, images, videos, software, code, data compilations, and other content, and all intellectual property rights therein, are owned by Conduit or its licensors and are protected by applicable intellectual property laws.
Except for the limited right to use the Site in accordance with these Terms, no right, title, or interest in the Site or any content is granted to you.
Conduit names, logos, product names, slogans, and related marks are trademarks or service marks of Conduit or its affiliates. You may not use them without Conduit’s prior written consent.

7. Third-Party Content and Links

The Site may contain links to third-party websites, integrations, content, or services. These are provided for convenience only. Conduit does not control and is not responsible for any third-party websites, content, products, services, or practices. Your use of third-party services is at your own risk and subject to the third party’s own terms and policies.

8. Confidential Information

The Site may give you access to non-public information about Conduit, including product materials, technical information, pricing concepts, roadmap information, case studies, or other information marked or reasonably understood to be confidential (“Confidential Information”).
You agree not to disclose, copy, or use Confidential Information except as necessary to evaluate a potential business relationship with Conduit and subject to any separate confidentiality obligations that may apply.

9. Beta, Forward-Looking, and Informational Content

The Site may include materials relating to products, features, or functionality that are under development, in beta, planned, or not generally available. Such content is for informational purposes only and does not create a commitment to deliver any functionality or timeline.
Any customer examples, case studies, savings estimates, performance claims, or business outcomes shown on the Site are illustrative and may vary depending on systems, workflows, data quality, implementation scope, user adoption, and other factors.

10. AI-Generated or Automated Functionality

Certain materials or services described on the Site may involve automated systems, AI-enabled features, models, or workflow agents. Outputs from such systems may contain errors, omissions, or inaccurate results. Unless otherwise expressly stated in a separate written agreement, you are responsible for reviewing and validating outputs before relying on them.

11. Privacy

Your use of the Site is also subject to our Privacy Policy below, which is incorporated into these Terms by reference.

12. Disclaimer of Warranties

THE SITE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONDUIT DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WITHOUT LIMITING THE FOREGOING, CONDUIT DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY CONTENT WILL BE ACCURATE, COMPLETE, OR CURRENT.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONDUIT AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, OPPORTUNITY, GOODWILL, DATA, OR USE, ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF CONDUIT AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).
Some jurisdictions do not allow certain disclaimers or limitations of liability, so some of the above may not apply to you to the extent prohibited by law.

14. Indemnification

You agree to defend, indemnify, and hold harmless Conduit and its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

  • your use of the Site;

  • your violation of these Terms;

  • your violation of applicable law; or

  • your infringement or misappropriation of any third-party rights.


15. Suspension and Termination

We may suspend, restrict, or terminate your access to the Site at any time, with or without notice, if we believe you have violated these Terms, create risk for us or others, or as otherwise necessary to protect the Site, our business, or other users.
Sections that by their nature should survive termination will survive, including sections relating to intellectual property, feedback, disclaimers, limitations of liability, indemnification, governing law, dispute resolution, and miscellaneous terms.

16. Governing Law

These Terms are governed by the laws of the State of Washington, without regard to conflict of laws principles.

17. Dispute Resolution; Venue

Any dispute, claim, or controversy arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in King County, Washington, and each party consents to the personal jurisdiction and venue of those courts.
If you prefer arbitration instead of court venue language, this section can be revised accordingly.

18. Changes to the Site or Terms

We may modify the Site, suspend any part of it, or discontinue it at any time.
We may update these Terms from time to time. If we make material changes, we will post the updated version on the Site and update the “Last Updated” date above. Your continued use of the Site after the updated Terms become effective constitutes your acceptance of the updated Terms.

19. Miscellaneous

These Terms constitute the entire agreement between you and Conduit regarding the Site, unless superseded by a separate written agreement.
If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect.
Conduit’s failure to enforce any provision of these Terms will not be deemed a waiver.
You may not assign or transfer these Terms without Conduit’s prior written consent. Conduit may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.
